By engaging Jeruz Technologies LLP, you agree to these Terms.
1. Scope of Services
Services include UI/UX design, WordPress/Shopify/custom development, e-commerce setup, domain/hosting management, SEO, Google Ads, Meta Ads, content marketing, and annual maintenance as per proposal/SOW.
2. Client Responsibilities
- Provide content, images, brand assets, and approvals timely.
- Ensure you have rights to all materials provided.
- Provide access to existing hosting, domains, and social accounts.
- Appoint single point of contact for approvals.
3. Payments
- 50% advance, 50% before go-live (or as per proposal). Monthly services billed in advance.
- Invoices due within 7 days. Late fee 1.5% per month.
- Non-payment: we may pause work, suspend hosting/website, and withhold credentials after 7 days notice.
- Prices in INR, exclusive of GST, domain/hosting, third-party plugins, and ad spends unless specified.
4. Timelines
Timelines depend on timely client inputs. Delays in content/approvals extend delivery accordingly.
5. Intellectual Property
Upon full payment, you own the final website design and custom code. We retain rights to our internal frameworks, tools, and methodologies. Third-party themes, plugins, and stock assets remain under their respective licenses. We reserve the right to display completed work in our portfolio and marketing.
6. Hosting & Domains
When we manage hosting/domains, we act as facilitator. You are the registrant and agree to registrar terms (including ICANN). We are not liable for registrar suspensions, domain loss due to non-payment, or hosting outages.
7. SEO & Marketing Disclaimer
We follow best practices but do not guarantee specific rankings, traffic, leads, or revenue. Algorithms and ad policies are controlled by third parties.
8. Warranties & Liability
Services provided “as is”. To the maximum extent permitted by law, liability is limited to the amount paid for the specific service in the preceding 3 months. We are not liable for indirect, consequential, or loss of profit.
9. Confidentiality
Both parties shall keep business, technical, and customer data confidential.
10. Termination
Either party may terminate with 30 days notice. On termination, all dues become payable immediately. Access to hosting, domains, and deliverables will be transferred after full settlement.
11. Governing Law
These terms are governed by laws of India. Jurisdiction: Courts of Surat, Gujarat.
